“As a founder I was stuck. ClearCourse approached me with a clear strategy that created real value for our business and our customers. The engagement throughout the process was impressive, from the first calls right through due diligence, everyone I met was capable, friendly, and professional. Nearly three years on, I couldn’t be happier with the decision. I’m continuing to run businesses and support customers as part of something bigger.”

Our acquisition approach
Each business is unique, so we reflect this in our acquisition strategy. The steps we take are tailored to your individual business needs – backed by our tried and tested methodology:

Data request and feedback
We’ll request information such as financial and customer data and payments integrations. We are committed to providing transparent and timely feedback, and if we think your company would be a strong fit, we will submit a Letter of Intent (LOI) to acquire your company which will outline the key terms and structure of the deal.

Business diligence
During exclusivity under an LOI, we continue business diligence. This includes financial, legal, tech, and HR due diligence by in-house experts and third parties. We also validate the payments opportunity to confirm alignment with our business model. Typically, we’ll start meeting with key members of your team to ensure it’s a smooth onboarding experience.

Growth plan
You want to achieve more with your software and we can help you accomplish this. We’ll work with you to develop a strategy to accelerate both software and payments growth by giving you access to branded embedded payments products, sales and marketing support and business growth solutions.

Frequently asked questions
What types of businesses do you typically acquire?
ClearCourse grows small and medium businesses operating in a specific vertical or niche. We focus on companies providing cloud-native SaaS solutions to SME customers, and those that enable payments through their software via third-party integrations, as this provides a strong opportunity for our embedded payment solutions.
What is the acquisition process like?
The acquisition process varies from one business to another, but we aim to complete our acquisitions within 60-90 days. If more complex or unexpected items arise during due diligence this can extend the timeline, however we commit our resources to ensure the process is as smooth and efficient as possible for all parties.
Will I still get to lead the team?
This is entirely up to you. Lots of our founders have stayed at ClearCourse and continued to build their career here, so if you’d like to stay on and help grow the business – and ClearCourse as a Group – we’d love to have you on board. Equally, we understand that an acquisition can be an opportunity to pursue new ventures or take some time away. We’re flexible and will work with you to find the best path.
Will my business change?
We understand that one of the key drivers of success in businesses we acquire is the people, their industry expertise, and their culture. We don’t want to change what made your successful, but there will be some changes that come with being part of a bigger community.
What information do you need from me during due diligence?
Once in the due diligence process, we’ll guide you through exactly what’s needed and provide a clear checklist, including an IRL (Information Request List), ensuring the process feels structured and manageable.
We’ll typically ask for information on:
- Financial information
- Customers and revenue
- Employees and organisation
- Technology and operations
- Legal and compliance
